Shareholder Rights Directive

The Shareholder Rights Directive II (SRD II) is a European Union directive. The objective is to improve corporate governance in companies whose securities are traded on the EU’s regulated markets.

Engagement Policy

Verso Investment Management LLP has chosen not to implement a shareholder engagement policy under the European Union’s Shareholder Rights Directive II. The companies that we invest in are normally very large companies where we hold a tiny shareholding of less than 0.01%. Therefore, we consider that adopting a formal voting policy or attempting to engage with company management would be unlikely to impact the behaviour of the companies we invest in. Furthermore, we consider that the costs of implementing a formal policy are likely to outweigh the benefits achieved for clients.
